These Terms and Conditions govern your use of digital products provided by CazMcNaz Hypnotherapy ("we," "us," or "our"). By purchasing or accessing our digital content, you acknowledge that you have read, understood, and agree to comply with these terms. If you do not agree, you must not purchase, access, or use our products. These Terms and Conditions are designed to protect both you, as the customer, and us, as the provider, ensuring a fair and transparent transaction.

1.    Business Information

CazMcNaz Hypnotherapy operates as a sole trader business, offering digital hypnotherapy products and self-improvement materials. Our principal point of contact for all enquiries, including customer support and legal concerns, is via email at [email protected].

2.    Digital Products and Access

CazMcNaz Hypnotherapy provides digital products intended for self-improvement and personal development through hypnotherapy techniques. These products are delivered in digital format and made available to customers via a Google Doc link after purchase or sign-up. The customer is solely responsible for ensuring that they have a stable internet connection and appropriate software to access the provided content.

Upon successful payment processing or email submission (for free content), customers will receive an access link to the purchased or subscribed digital material. This link must not be shared, reproduced, or redistributed in any form. Access to the content is provided on a single-user, non-transferable basis, and customers are expressly prohibited from granting third parties access to the materials. Any attempt to bypass access restrictions or share the content without explicit permission from CazMcNaz Hypnotherapy may result in the suspension or revocation of access without notice.

We reserve the right to update, modify, or replace the digital content at our discretion to ensure the continued relevance and effectiveness of the material. Customers will be notified of significant updates, but access to previously purchased content remains at the discretion of CazMcNaz Hypnotherapy. In the event of platform changes or unforeseen technical issues, we will take reasonable steps to maintain access to purchased products but do not guarantee indefinite availability.

3.    Payment and Refund Policy

All payments for digital products must be made in full at the time of purchase. We process payments securely through platforms such as Stripe, which accept most major credit and debit cards. By completing a transaction, you confirm that you are authorised to use the selected payment method and that sufficient funds are available to cover the purchase amount.

We also accept payments via PayPal or alternative payment processors when stated as an option. All transactions are processed in GBP (£), and any applicable currency conversion fees imposed by your bank or card provider are your responsibility. We are not liable for any additional charges, transaction fees, or delays caused by financial institutions.

Once a payment is successfully processed, you will receive an email confirmation containing details of your purchase and instructions for accessing the digital content. If you do not receive this confirmation within 24 hours, please check your spam folder before contacting us at [email protected].

Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, digital products are generally subject to a 14-day cooling-off period. However, by purchasing our digital content, you expressly agree to waive your right to cancel once access is provided. This is because digital downloads cannot be "returned" once accessed.

Refunds are only available in the event of a technical failure that prevents you from accessing the product. If you experience an issue, you must notify us within 14 days of purchase at [email protected], providing details of the problem.

If the issue is caused by a fault on our end, we will first attempt to resolve it (e.g., by re-sending access). If the issue cannot be resolved, we will issue a full refund.

Refunds will not be provided for:

       Change of mind after purchase.

       Dissatisfaction with the product, as individual results vary.

       Failure to read the product description before purchase.

       Lack of device compatibility or internet access issues on your end.

Unauthorised chargebacks or payment disputes may result in immediate revocation of access to the purchased content. If you believe a charge has been made in error, we encourage you to contact us at [email protected] before initiating a chargeback request with your bank. Fraudulent chargebacks will be disputed, and we reserve the right to take legal action to recover lost funds.

4.    Disclaimers, Limitation of Liability & Indemnification

CazMcNaz Hypnotherapy provides digital hypnotherapy, longevity products designed for self-improvement and behavioural change. However, hypnotherapy is a subjective practice, and its effectiveness varies between individuals. As such, we make no representations, warranties, or guarantees—express or implied—regarding the success or effectiveness of any of our products.

By purchasing or using our digital content, you acknowledge that results may vary based on individual factors such as mindset, consistency, and responsiveness to hypnotherapy techniques. We do not claim that any user will achieve specific results, including but not limited to weight loss, habit changes, or improved well-being.

The content provided by CazMcNaz Hypnotherapy is intended for general information and self-help purposes only. It is not a substitute for medical, psychological, or therapeutic advice, diagnosis, or treatment. If you have an existing medical or mental health condition, or if you are under the care of a healthcare professional, you should consult your doctor or specialist before using hypnotherapy content.

We do not provide medical, psychiatric, or psychological services. If you require professional support, you should seek assistance from a licensed practitioner. By using our digital content, you confirm that you understand and accept that it is not a replacement for professional treatment or therapy.

By accessing or purchasing our digital products, you agree that you are solely responsible for your own health, decisions, and actions. You acknowledge that hypnotherapy may not be suitable for everyone and that you are using our content voluntarily and at your own discretion.

CazMcNaz Hypnotherapy is not liable for any physical, mental, or emotional effects—positive or negative—that may result from the use of our digital content. This includes, but is not limited to, any claims of increased anxiety, discomfort, or unexpected reactions to hypnotherapy techniques.

If you experience any adverse effects while using our content, you should discontinue use immediately and seek professional advice.

To the fullest extent permitted by UK law, we disclaim all liability for any direct, indirect, incidental, special, or consequential damages arising from the use or inability to use our digital products. This includes but is not limited to:

       Financial loss or loss of income.

       Health-related consequences resulting from reliance on the content.

       Emotional distress, discomfort, or mental well-being issues.

       Loss of data, software corruption, or device malfunction caused by accessing the digital content.

CazMcNaz Hypnotherapy is not responsible for technical issues affecting access to the product that are beyond our control, including but not limited to internet outages, compatibility issues with user devices, or third-party service disruptions (such as Google Docs or Stripe).

Nothing in these Terms and Conditions excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under UK law.

By using our digital content, you agree to indemnify and hold harmless CazMcNaz Hypnotherapy, its owner, affiliates, and representatives from any claims, demands, or liabilities resulting from your use or misuse of the content. This includes legal costs and expenses arising from breaches of these Terms and Conditions.

5.    Intellectual Property Rights

All digital content, including but not limited to text, written materials, audio files, branding, logos, graphics, and any other associated media, is the exclusive intellectual property of CazMcNaz Hypnotherapy. All rights, including copyrights, trademarks, and any other proprietary rights, are expressly reserved.

Purchasing or accessing our digital products does not transfer any ownership rights to you. Instead, you are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the content for personal, non-commercial purposes only.

By purchasing or accessing our digital products, you are granted a licence for personal use only. This means:

       You may access and use the content for your own self-improvement purposes.

       You may not modify, adapt, or create derivative works from the content.

       You may not share, distribute, or resell the content to third parties.

       You may not upload the content to file-sharing platforms, public forums, or any third-party services.

       You may not claim any of the content as your own.

Any unauthorised use of the digital products, including reproduction, resale, distribution, or modification, is a breach of copyright law and may result in legal action.

All content is protected under the Copyright, Designs and Patents Act 1988 (UK), which grants creators automatic copyright protection over their original works. This means:

       You do not have the right to copy, sell, or repurpose our materials in any way.

       If you are found to be distributing, sharing, or profiting from our content without permission, legal action may be taken against you.

       We actively monitor unauthorised distribution and misuse of our content, including through digital watermarking and tracking technologies.

If we discover that our content is being used, shared, or reproduced without permission, we reserve the right to:

       Issue a cease-and-desist notice requiring you to stop using the content immediately.

       Pursue legal action to recover damages and lost earnings.

       Revoke your access to all purchased products without refund.

If you become aware of any unauthorised use, distribution, or infringement of CazMcNaz Hypnotherapy’s content, please report it to [email protected]. We take all intellectual property violations seriously and will take necessary action to protect our content.

We reserve the right to terminate your access to the digital content if you breach any part of these intellectual property terms. In such cases, you will not be entitled to a refund, and further legal action may be pursued.

6.    Dispute Resolution and Governing Law

This agreement is governed by the laws of England and Wales. We are committed to resolving any disputes in a fair and reasonable manner. If a dispute arises concerning these Terms and Conditions, the use of our digital content, or any related matter, both parties agree to first attempt to resolve the dispute in good faith through negotiations via email. The disputing party must provide written notice of the issue to [email protected], outlining the nature of the dispute and the requested resolution.

If the dispute is not resolved within 14 days from the date of written notice, the matter shall be exclusively referred to arbitration in accordance with the Rules of the London Court of International Arbitration (LCIA). The arbitration shall:

       Be conducted in London, England.

       Be overseen by a single arbitrator, appointed in accordance with LCIA Rules.

       Be conducted in the English language.

Each party shall bear its own costs associated with the arbitration. However, the prevailing party may be reimbursed for costs solely at the discretion of the arbitrator. The decision of the arbitrator shall be final and binding, and no party shall have the right to appeal, except as permitted under the Arbitration Act 1996.

Nothing in this clause prevents either party from seeking interim or injunctive relief where necessary to prevent immediate harm or misuse of intellectual property.

7.    Miscellaneous

a.    Entire Agreement: These Terms and Conditions, along with our Privacy Policy, constitute the entire agreement between you and CazMcNaz Hypnotherapy regarding the purchase and use of our digital products. They supersede all prior discussions, understandings, or agreements, whether written or oral, relating to the subject matter herein. No oral or written representation not contained in these Terms shall be legally binding.

b.    Severability: If any provision of these Terms and Conditions is found to be invalid, unlawful, or unenforceable, such provision shall be severed from the agreement, and the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

c.     Amendments to These Terms: We may update these Terms and Conditions at any time. Continued use of our products following an update means you accept the revised terms.

d.    Force Majeure: We shall not be held liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control. This includes, but is not limited to:

 i.     Internet outages, server failures, or technical malfunctions affecting access to the digital content.

 ii.    Cyberattacks, data breaches, or unauthorised access to our platforms.

 iii.   Natural disasters, pandemics, government restrictions, or legal changes that impact our ability to operate.

 iv.   Strikes, labour disputes, or supply chain disruptions affecting third-party service providers.

In such cases, we will make reasonable efforts to restore access or provide alternatives but shall not be liable for any resulting inconvenience or losses.

e.    No Waiver: Failure by CazMcNaz Hypnotherapy to enforce any right or provision of these Terms shall not be considered a waiver of such right or provision. Any waiver must be expressly agreed upon in writing to be legally effective.

f.      No Partnership or Agency: Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and CazMcNaz Hypnotherapy. You may not represent yourself as having any authority to bind or act on behalf of us.

g.    Assignment: You may not assign, transfer, or delegate any of your rights or obligations under these Terms without prior written consent from CazMcNaz Hypnotherapy. We reserve the right to assign or transfer our rights and obligations under these Terms in the event of a business restructuring, acquisition, or sale.

h.    Survival: Any provisions that by their nature should survive termination of this agreement shall remain in effect. This includes, but is not limited to:

i.            Intellectual Property Rights

ii.           Limitation of Liability.

iii.          Dispute Resolution.

 iv.         Any payment obligations incurred before termination.

COACHING TERMS AND CONDITIONS

COACHING AGREEMENT
 Caz McNaz Hypnotherapy
 Effective Date: 01/04/2025

This Agreement is made between you, the client ("Client"), and Caz McNaz Hypnotherapy ("Coach"), operated by Caroline Mcnally, a sole trader with principal address at 11 Bracken Lane, Stirling, FK9 5AB, Scotland. By booking a coaching session or programme, you agree to the following terms and conditions.

1.      Services Provided

The Coach offers one-to-one or group coaching services rooted in clinical hypnotherapy and supported by evidence-informed practices in the areas of lifestyle, longevity, nutrition, movement, sleep hygiene, and stress management.

Each coaching engagement is designed to support Clients in achieving personal wellbeing goals through a combination of structured course content, practical techniques, and bespoke guidance. Sessions may involve hypnotic techniques, guided visualisation, mindset coaching, and reflective dialogue to explore and shift habits, beliefs, and behaviours.

Services are currently delivered remotely via Zoom, Google meet, Email or telephone, ensuring accessibility for both UK-based and international Clients. Clients may choose between standalone sessions and comprehensive coaching packages, including a 4 or 8 week coaching programme offering the option of weekly one-to-one or small group sessions.

The Coach may also, at her discretion, use additional platforms (such as private Facebook groups or live streaming tools) to enhance the coaching experience. These additional formats will be subject to the same terms of confidentiality, professionalism, and client care as the core one-to-one services.

Please note: Coaching services are not clinical psychotherapy, medical treatment, or a substitute for professional advice from a qualified healthcare or mental health provider. Where necessary, Clients will be encouraged to seek appropriate professional or medical support in parallel with coaching.

2.      Booking and Payment

Coaching sessions are booked via the FEA Create platform, which provides a secure and user-friendly interface for scheduling and payment. Upon booking, Clients will receive a confirmation email along with access details for their selected session, including a Zoom link, Google meet link where applicable.

All coaching services must be paid for in advance at the time of booking. Payment secures the Client’s appointment and confirms their agreement to these terms and conditions. Fees may vary depending on the type of session or programme selected: Standalone one-to-one sessions, 4 week packaged, 12 week packages, Group or course-based coaching packages: Pricing varies depending on format and duration. Details are provided on the relevant product page at the time of purchase.

The Coach accepts payments via Stripe, PayPal, Apple Pay, or other secure payment processors all of which offer secure and encrypted processing. Pricing is displayed in the relevant currency and includes applicable taxes, which are calculated automatically.

In the event that a payment fails or is not received, the Client will not be granted access to the scheduled session or programme materials. The Coach reserves the right to modify session rates or introduce new packages, with such changes taking effect only for future bookings.

All transactions are subject to the FEA create terms of use and processing policies, and Clients are advised to retain confirmation of payment for their records.

3.      Refunds and Cooling-Off Period

In accordance with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, Clients who purchase coaching services online are entitled to a 14-day cooling-off period beginning the day after purchase. During this period, the Client may cancel the contract and receive a full refund, provided that no coaching services have been delivered or commenced.

Where a session or programme is scheduled to begin within the 14-day cooling-off period, the Client expressly agrees to waive the remainder of the cooling-off period once the service begins. If the Client chooses to cancel after services have commenced but before completion, a partial refund may be considered at the Coach’s sole discretion, based on the proportion of the services already delivered.

Outside the statutory cooling-off period, refunds are not routinely offered. However, the Coach may offer a goodwill refund or credit in the event of a formal complaint submitted in writing within one (1) month of the relevant session or programme start date. Each case will be considered individually, and any decision will be final.

Refunds will not be issued for missed sessions, no-shows, or cancellations made outside the permitted cancellation window, as set out in Clause 4. The Coach reserves the right to cancel or reschedule a session where necessary; in such cases, Clients will be offered an alternative date or a full refund.

4.      Rescheduling, Cancellations, Pausing, and No-Shows

The Coach understands that unexpected circumstances may occasionally arise. To maintain fairness and efficiency for all Clients, the following policies apply: Rescheduling: Clients may request to reschedule a session provided that at least 24 hours’ notice is given prior to the scheduled session start time. Requests must be made in writing (via email or direct message) and are subject to availability. Late Cancellations and No-Shows: Cancellations made with less than 24 hours’ notice will be considered late and are non-refundable. Clients who do not attend a scheduled session (a "no-show") without prior notice will forfeit the session and will not be entitled to a refund or reschedule. Coach-Initiated Changes: In rare circumstances where the Coach needs to reschedule a session (e.g. due to illness, emergency, or technical issues), the Client will be offered an alternative time or a full refund for that session. The Coach will provide as much notice as reasonably possible. Timeliness: Clients are encouraged to arrive on time for sessions. Where a Client joins late, the session will still end at the originally scheduled time. Where the Client is more than 15 minutes late without notice, the session may be marked as a no-show.

These policies help ensure that time is respected for both parties and that appointment slots are used efficiently.

Clients may request to pause an ongoing coaching programme by contacting the Coach directly. Approval is at the Coach’s discretion and subject to availability.

Client Responsibilities Coaching is a collaborative process that requires active participation and personal commitment. To gain the full benefit of the services provided, the Client agrees to: Engage Fully: Attend each session on time, free from distractions, and with a willingness to participate openly and honestly. Take Responsibility: Commit to self-reflection, complete agreed actions between sessions, and take ownership of the changes they wish to see. Communicate Clearly: Inform the Coach in advance of any relevant personal, emotional, or practical matters that may impact the coaching relationship or session outcomes. Respect the Process: Understand that coaching is not a quick-fix solution and that progress often requires sustained effort and mindset shifts. Maintain Professional Boundaries: Interact respectfully and professionally with the Coach and other participants (if in a group setting), and avoid conduct that may be disruptive or harmful. Clients are reminded that results are not guaranteed. Outcomes depend on individual effort, circumstances, and commitment, and the Coach does not assume responsibility for the Client’s actions or decisions made during or after the coaching engagement.

6.      Confidentiality and Data Protection

The Coach is committed to maintaining the highest standards of confidentiality and privacy in all aspects of the coaching relationship. Any personal, emotional, or professional information shared by the Client during sessions will be treated with strict confidence. Confidentiality: All verbal and written communications during coaching sessions are confidential and will not be disclosed to any third party without the Client’s express written consent, except where required by law (e.g. risk of harm, legal obligation, or safeguarding concerns). Where a referral or professional collaboration is appropriate, this will be discussed with the Client in advance. Session Notes and Recordings: The Coach may keep brief, secure notes to support the coaching process. These notes are stored confidentially and accessed only by the Coach. Session recordings may be made available to the Client upon request for personal use only and are not to be shared or distributed. Data Collected: The Coach collects and processes personal data, which may include the Client’s name, email address, responses to coaching questionnaires, and notes from sessions. This data is collected solely for the purpose of delivering coaching services and communicating effectively with the Client. Data Storage and Security: All data is stored securely and managed in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. The Coach uses reputable platforms, including Flodesk and Stan Store, which have their own data privacy safeguards in place. Privacy Policy: A full Privacy Policy detailing how Client data is used, stored, and protected is available on request or see our Privacy Policy page for details.

By entering into this Agreement, the Client acknowledges and agrees to the collection and use of their data as described above. Clients may contact the Coach at any time to access, amend, or request deletion of their personal data.

7.      Disclaimers

Coaching is a non-clinical, forward-focused process designed to support personal development, mindset shifts, and lifestyle changes. While hypnotherapy and coaching may offer powerful tools for transformation, it is important to clarify the nature and limitations of the services provided: Not a Substitute for Medical or Mental Health Treatment: The Coach is not a medical professional, therapist, psychologist, or registered dietitian. Coaching services are not intended to diagnose, treat, cure, or prevent any medical or psychological condition. Clients with concerns in these areas are strongly encouraged to seek appropriate advice from a qualified healthcare provider. Coaching may complement but does not replace such professional services. No Guarantees of Outcome: Results from coaching vary widely between individuals and depend on many factors, including the Client’s commitment, actions, and personal circumstances. While the Coach will use her best efforts and professional judgement to guide and support the Client, no specific outcomes or results are guaranteed. Client Responsibility: The Client remains responsible for their own decisions, actions, and progress throughout the coaching relationship. The Coach does not offer advice or instructions, but instead provides a supportive environment for insight, reflection, and self-directed change. Voluntary Participation: Participation in coaching sessions is entirely voluntary, and the Client may choose to withdraw at any time, subject to the terms of this Agreement.

These disclaimers are designed to ensure clarity of purpose and to safeguard the integrity of the coaching relationship. Clients should approach coaching with realistic expectations and a readiness to take ownership of their personal growth.

8.      Limitation of Liability

To the fullest extent permitted by law, the Coach shall not be held liable for any direct, indirect, incidental, consequential, special, or exemplary damages arising out of or in connection with the Client’s participation in coaching services. This includes, but is not limited to, loss of income, emotional distress, missed opportunities, or claims by third parties, whether arising in contract, tort (including negligence), equity, statute or otherwise.

The Client agrees that coaching is a voluntary engagement and that they assume full responsibility for all decisions, actions, outcomes, and consequences that may result from coaching sessions and related materials. The Coach does not accept liability for any actions taken by the Client based on advice, suggestions, or insights shared during the coaching relationship.

In any event, and notwithstanding anything to the contrary, the Coach’s total liability under this Agreement shall be strictly limited to the total amount paid by the Client for the services in question.

Nothing in this clause shall exclude or limit the Coach’s liability for death or personal injury caused by negligence, fraud, or any other liability which cannot be lawfully excluded under UK law.

The Client agrees to indemnify, defend, and hold harmless the Coach from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: the Client’s use or misuse of the coaching services, any breach of this Agreement by the Client, or any violation of applicable laws or third-party rights resulting from the Client’s actions or omissions during or following the coaching engagement.

This indemnity shall survive the termination or expiration of this Agreement and remains enforceable to the fullest extent permitted by law.

9.      Intellectual Property

All materials, resources, content, and documentation provided by the Coach during the course of the coaching relationship — including but not limited to written materials, audio and video recordings, session tools, frameworks, exercises, digital downloads, and programme content — remain the sole intellectual property of the Coach.

The Client is granted a limited, non-exclusive, non-transferable licence to access and use these materials solely for their own personal use in connection with the coaching services. These materials may not be copied, reproduced, republished, uploaded, shared, posted, transmitted, or distributed in any form or by any means, whether electronically or otherwise, without the Coach’s express prior written permission.

This includes sharing content within group forums, on social media, or through third-party platforms. Any unauthorised use of the Coach’s intellectual property constitutes a breach of this Agreement and may result in legal action.

All branding, logos, and service marks associated with Caz McNaz Hypnotherapy are also protected and may not be used or reproduced without permission.

10.  Miscellaneous

Entire Agreement: This Agreement constitutes the complete and exclusive understanding between the parties with respect to the coaching services described herein and supersedes all prior or contemporaneous communications, representations, discussions, or agreements, whether oral or written.

Amendments: No addition to or modification of this Agreement shall be binding unless made in writing and agreed by both the Coach and the Client.

Severability: If any provision of this Agreement is held to be invalid, illegal, or unenforceable in whole or in part, such provision shall be deemed modified to the minimum extent necessary to make it enforceable. The remainder of the Agreement shall remain in full force and effect.

No Waiver: A failure or delay by either party to enforce any right or provision of this Agreement shall not be deemed a waiver of that right or provision, nor shall it prevent the future exercise of that or any other right.

Force Majeure: The Coach shall not be liable for any delay or failure in performance of any part of this Agreement due to events beyond reasonable control, including but not limited to acts of God, illness, natural disasters, pandemic-related disruptions, internet outages, or government restrictions.

Assignment: This Agreement is personal to the Client and may not be assigned, transferred, or sublicensed without the prior written consent of the Coach. The Coach may transfer or assign this Agreement in connection with any reorganisation or restructuring of the coaching practice.

Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of Scotland. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the Scottish courts. The parties agree that this jurisdiction is appropriate and binding.
